ARTICLES OF INCORPORATION AND BYLAWS, ....... continued



NEW SECTION
Section 1. (a) Special Committees. A member of the Society's Board must be serve on any Special Committee.

A Chairperson will be appointed with approval of the Board. The committee may recommend the person they want as Chairperson.

Committee members must be members of the Society.

All projects must be brought before Society's Board.

Costs incurred by a Special Committee will be paid for out of that committee's account. Costs such as, but not limited to, mailings, promotional materials, tax returns.

All Special Committee Checks must have Two (2 ) signatures.

Check signing must be by the Society's Board Treasurer and an Officer. At no time will the two be combined in one person.

Section 2. The following committees are recommended but not limited to ones listed.

1. Nominating Committee
2. Program Committee
3. Membership Committee
4. Publicity Committee
5. Dinner Arrangements Committee
6. Ticket Sales Committee
The President shall be an ex officio member of all committees.

ARTICLE VII -- AMENDMENTS
Section I. These By-Laws may be amended at any time by a two-thirds (2/3) vote of the Board of Directors and may also be amended at any annual or special meeting by the members of this Society upon a favorable vote by a majority of the members present.

ARTICLE VIII -- DISSOLUTION
AMENDED ON APRIL 20, 1995 BY THE BOARD OF DIRECTORS
Section 1. In the event the Royal Oak Historical Society dissolves, any assets will be disbursed to the city of Royal Oak.

    The original By-Laws were drafted by Gilbert H. Davis and W. Clarence Hudson;
    Harry W. Jones was responsible for writing the 1963 amended version;
    Geoffrey H. Davis was responsible for writing the 1982 version;
    Owen A. Perkins was responsible for writing the 1994 amendment for the 1994 amended version.
